The terms and conditions herein are the Terms and Conditions (hereinafter “Terms”) of the website and learner certification program given by the C3Spectra, a Delaware Company (“C3Spectra”). Users of the C3Spectra website are advised to read the Terms carefully, as they shall apply to all visitors, users, and clients of the website and service.
By accessing or using the C3Spectra Services you agree to be bound by these Terms. If you disagree with any part of the terms then you may not access the Services. You should promptly discontinue use of the Services.
1. About C3Spectra
C3Spectra provides companies with advanced direction and expertise in 4G, 5G, WiFi, and IoT technology—all with a results-based approach designed to make it easy to keep pace with always- evolving technology. Inspired by our diverse experience in mobile technology, C3Spectra launched its industry-leading professional training and development program in July 2019. Expert-led, on-demand courses are designed to help individuals and teams master the future of wireless technology and, even, gain industry certifications to promote their learnings.
The C3Spectra CPI training and certification program provides a guide and exam preparation service for learners to earn required credentials necessary for serving as Certified Professional Installers (“CPI”) of equipment, software, and other IT related products. To become certified, learners must demonstrate their knowledge and skillset to our satisfaction.
2. Services & Expectations
The C3Spectra website offers the services of continued learning opportunities, certification opportunities, and support for CPI in the field.
You agree to comply with all testing policies, procedures, guidelines, and protocols. You further agree to provide accurate and complete information for your account and understand that falsification of documents will be cause to terminate your account immediately.
C3Spectrra works to encourage professional standards in the industry. As such, you will be expected to maintain professional standards at all times.
3. Certificate & Authority
A Certificate means a digital certificate that contains a CPI’s public key and identifies the entity authorized to issue, manage, revoke, and renew Certificates, and is digitally signed by such entity. A Certificate Authority means the entity which is authorized to issue, manage, revoke, and renew a Certificate.
4. Use of the Services
By using the website, you represent and warrant that you are over the age of 18, that you are able and willing to abide by the terms and conditions herein, and that you accept that we may track or monitor your activity on the website, collect and use your information, and send mailers to you when necessary.
5. Confidentiality
You agree that during and after the term of this Agreement you will (i) hold all Confidential Information in confidence and take all reasonable measures to protect the Confidential Information; (ii) make no use of the Confidential Information except as expressly allowed under this Agreement; and (iii) not disclose, reproduce, publish, disseminate, or transmit any Confidential Information, in whole or in part, in any form or by any means, or for any purpose, to any third party without C3Spectra’s express prior written consent.
If you disclose Confidential Information in violation of this Agreement or you otherwise undermine the integrity and security of the Program, C3Spectra reserves the right, among other things, to revoke your CPI certification.
6. Varying Terms and Conditions
3Spectra asserts and you accept that the terms and conditions within this website may, dependent on circumstances, vary from the terms and conditions for the account services provided via the 3Spectra mobile application. 3Spectra asserts and warrants that the services provided on the mobile application and on this website are distinct and separate, as such, you are obligated to be aware of the terms herein, as well as on the mobile application.
7. Additional Terms & Conditions
Please be advised that you will be required to accept additional terms and conditions upon entering our learning program. This will appear in the form of a learner acknowledgement waiver and your acceptance of the waiver shall constitute acceptance of the terms, conditions, waivers, and other items within such waiver.
8. Acquiring a Certificate
To become a Certified Professional Installer under a program offered by C3Spectra, you must (i) accept this Agreement; and (ii) satisfy the learner requirements set forth by C3Spectra, which includes, without limitation, earning passing scores on all required examinations in accordance with the applicable certificate authority’s and C3Spectra’s testing guidelines. If you satisfy these requirements, you will receive a Certificate from C3Spectra designating you as a C3Spectra CPI.
Some courses offered by C3Spectra are preparatory only, where you will acquire the material needed to pass an examination given by a certificate authority, but the actual exam is administered by that authority or another third party. In such instances, C3Spectra will identify where to take the examination.
9. Academic Dishonesty
Any person who violates the basic principles of academic dishonesty when taking a learner course may be removed from the course. A limited amount of their fees may, at our discretion, be reimbursed, depending on when in the course the person was removed and the circumstances of the removal.
10. Certification Revocation.
C3Spectra may, in its sole discretion, revoke any and all certifications you may have earned, and ban you, permanently or for designated periods, from earning future certifications, if (i) you breach any of the terms and conditions of this Agreement; (ii) C3Spectra determines that you have undertaken or participated in any action that compromises the integrity and confidentiality of an examination or the Program; or (iii) you are determined to have committed academic dishonesty.
11. Notifications and Employer.
You agree that if C3Spectra revokes your certification C3Spectra has the absolute right to, (i) notify your employer; and (ii) respond to any inquiry by your employer or others, about your certification status.
12. Privacy Policy
By accepting these Terms, you accept our Privacy Policy, which can be found on the 3Spectra website and within this website.
13. User Account
Users represent that they are qualified for creating an account on the 3Spectra Services. Account creation requires specific information, including name, email address, and other factors that may be expanded or removed as needed. When creating your account, you must utilize the email provided and verify your account creation via the email that will be directed to you. Failure to do so will result in the denial of account creation.
14. Term & Termination
The term of these Terms shall commence upon your use of the website. These Terms remain in full force and effect until terminated. Termination may occur either by C3Spectra discontinuing your account due to fraud, misrepresentation, academic dishonesty, your failure to comply with accreditation standards, your misappropriation of C3Spectra intellectual property, a failure by you to abide by these Terms. Either party may terminate for any cause with 30 days written notice.
15. Payments
3Spectra shall charge your account via your preferred and provided financial information. We utilize third-parties and do not have access to your information in any manner. You must also comply with all applicable third-party terms of service when using the 3Spectra Services, including the terms of use when charging credit or debit cards, making direct deposits, instructing a third-party to make a wire transfer, or any other form of transferring monetary instruments from your accounts to 3Spectra.
16. Intellectual Property
C3Spectra retains all rights, title and interest in and to all Confidential Information, including, without limitation, all Program related information, content, data, exams, materials, and software, and all copyrights, patent rights, trademark rights, and other proprietary rights therein (collectively “Proprietary Information”). All rights not expressly granted by C3Spectra in its materials are expressly reserved to C3Spectra.
17. Age Requirements
3Spectra asserts that its Services are for the use and enjoyment for those over the age of 18. Those who are under 18 may use this service solely with the express permission of their parent or legal guardian. Should 3Spectra discover you are under the age of 18 and lacking permission, your account will be revoked immediately and your account information deleted.
18. Services
3Spectra offers a range of services through its website. From module learning courses, to onsite job assistance, 3Spectra is proud to support professionals in a wide range of websites.
19. Ordering through our Service
When placing an order, you shall follow the onscreen prompts and directions. Each action is an offer by us representing service(s) for sale, and your acceptance is contingent upon you providing payment. You are solely responsible and 3Spectra shall not be liable, for the information you provide.
We shall acknowledge receipt of your action, either by a notification appearing on the website, your account on the website or via an email delivery to the email provided by you to us.
Should we be unable to provide the materials you ordered, we will notify you as soon as possible by email and we will cancel the order. If payment was processed, we will refund the full amount in a timely manner.
20. Delivery
3Spectra solely ships to addresses within the United States of America. Under no circumstances shall 3Spectra ship materials outside the U.S. nor knowingly aid a third-party in such export of materials. 3Spectra asserts that in instances where International Trade in Arms Regulations or other regulations pertaining to terrorism, weapon exportation, or other controlled exports, 3Spectra shall notify the relevant state and/or federal authorities.
3Spectra, upon a purchase of materials being made through the Service will provide an estimate delivery date. All delivery dates provided are approximate and are not deemed ‘of the essence of time’.
Upon receipt, signature, and payment of all materials, title transfers to you. Any loss or damage that occurs during shipping shall be your responsibility. Should you fail to accept delivery of the materials acquired we may resell the materials and deduct reasonable storage, handling, and other costs to you.
In the event of our failure to ship the materials, our liability is limited solely to the cost of obtaining replacement goods of same or similar description and quality, in the least expensive manner possible.
21. Refunds
There is no refund for 3Spectra modules or materials. Should you have any issue with the content as provided you may reach out to our help desk and make reasonable requests for accommodation. We reserve the right to decline your requests.
22. Images
3Spectra may have image and video content on the website. We make no assurance or promise that tools, hardware, or other materials that may appear in such images or videos are true and accurate. Manufacturers may change logos, designs, symbols, etc., and it is to you, the professional, to be ready and capable of identifying variations within products.
23. Termination
3Spectra reserves the absolute right to terminate your account and access to the Services in the event you breach these Terms, request deletion of your account, we are requested to do so by law enforcement, or in the event we discontinue the Services or your account.
Your account may be deleted in the event of nonpayment of services acquired under the Services, for failure to promptly respond to a notice from 3Spectra regarding an invoiced amount owed, failure by you to accept delivery for some or all of the materials you acquired through the Services, if you or your company enter into administration, receivership, or other arrangement with your creditors or the bankruptcy courts in your jurisdiction, if your business is being wound down, if your business is restructured, if you threaten to suspend or suspends to continue your business as it relates to 3Spectra, or your financial position deteriorates to such an extent that in our opinion you are no longer capable of fulfilling your obligations under these Terms.
24. Content Ownership & Rights
3Spectra asserts that it owns all content with the Services, unless clearly stated otherwise. Users may not and shall not copy, monetize, misuse, abuse, or misappropriate the content of 3Spectra. 3Spectra reserves the right to enforce its trademark, copyright, and trade secret rights whenever necessary.
25. Prohibited Conduct
Users may not utilize the 3Spectra Services to:
- infringe, misappropriate, or violate a third party’s patent, copyright, trademark, trade secret, moral rights or other intellectual property rights, or rights of publicity or privacy;
- violate, or encourage any conduct that would violate, any applicable law or regulation or would give rise to civil liability;
- engage in fraudulent, false, misleading or deceptive activity;
- engage in defamatory, obscene, pornographic, vulgar or offensive activity;
- engage in activity that promotes discrimination, bigotry, racism, hatred, harassment or harm against any individual or group;
- engage in activity that is violent or threatening or promotes violence or actions that are threatening to any person or entity;
- engage in activity that promotes illegal or harmful activities or substances;
- access, tamper with, or use non-public areas of the Services, 3Spectra’s computer systems, or the technical delivery systems of 3Spectra’s providers;
- attempt to access or search the Services or download content from the Services through the use of any engine, software, tool, agent, device or mechanism (including spiders, robots, crawlers, data mining tools or the like) other than the software or search agents provided by 3Spectra or other generally available third-party web browsers;
- send any unsolicited or unauthorized advertising, promotional materials, email, junk mail, spam, chain letters or other form of solicitation;
- use the Services for any commercial purpose or the benefit of any third party or in any manner not permitted by these Terms;
- forge any TCP/IP packet header or any part of the header information in any email or newsgroup posting, or in any way use the Services to send altered, deceptive or false source-identifying information;
- attempt to decipher, decompile, disassemble or reverse engineer any of the software used to provide the services;
- interfere with, or attempt to interfere with, the access of any user, host or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Services;
- collect or store any personally identifiable information from the Services from other users of the Services without their express permission;
- impersonate or misrepresent your affiliation with any person or entity;
- violate any applicable law or regulation; or
- encourage or enable any other individual to do any of the foregoing.
Further, you accept full and total liability in the event you seek to unlawfully disrupt, delay, or harm 3Spectra’s services. This shall include filing of unsafe, false, or misleading information in a manner that obstructs or prevents the rendering of services.
26. Warranty
The Services are provided in “as-is” condition, without any warranty. 3Spectra specifically disclaims any warranties of fitness for a particular purpose, quiet enjoyment, or non-infringement and any warranties arising out of course of dealing or usage of trade. 3Spectra makes no warranty that the Services will meet your requirements or by available on an uninterrupted, secure, or error-free basis. 3Spectra makes no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of the Services within.
3Spectra asserts that the materials sold through our Services are only for the purpose of distribution and are subject to sale in “as-is” condition. As such it is on you to inspect and resell all materials acquired. We make no representations or warranties relating to the fitness of use, marketability, or other suitability of the materials you acquire via our Services. Your sole recourse in the event materials are not to your needs is to consult with the manufacturer for resolution of the matter.
27. Guarantee
While 3Spectra will do its best to provide you with the material necessary to achieve certification in the area the module covers, there is no guaranty as to the truthfulness, accuracy, or certainty of success that may arise from such module.
28. Certification
If you are taking the learning module in pursuit of a certification, you are warned and advised that there is no degree of certainty, nor assurance that the 3Spectra learning module will bring about the certification. The module is provided for your personal usage and you are strongly encouraged to look to additional resources to acquire such certification as may be required.
29. Indemnification
You will indemnify and hold harmless 3Spectra and its officers, directors, and agents, from any and all claims, disputes, demands, liabilities, damages, losses, and costs and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.
30. Disclaimer
C3Spectra assumes no liability whatsoever for any act, whether intentional, negligent or otherwise, of any person certified under the program. C3Spectra makes no representations or warranties, express or implied, including, but not limited to, any warranties of merchantability, noninfringement or fitness for a particular purpose with respect to the program, course materials, documentation, requirements, exams, and other materials prepared and supplied by or on behalf of C3Spectra under this agreement or authorization hereunder. All materials provided by C3Spectra, whether in hard copy or on C3Spectra’s websites, are provided “as is.” C3Spectra does not warrant the accuracy or completeness of any information, links or other materials, including, without limitation, information provided in its web sites, or that its software is error free or will operate without problems or interruption.
31. Independent Evaluation
By agreeing with these Terms you acknowledge that you have independently evaluated the potential risks and benefits of entering into and performing your obligations and responsibilities under this agreement. Without limiting the foregoing, you have in no way relied on any assurances or representations of C3Spectra or anyone purporting to act on C3Spectra’s behalf regarding the potential future business, profits, opportunities, revenues, costs or capital investments in connection with the program or certification under the program.
32. Limitation of Liability
3Spectra represents that it is not engaged in any activity for which an ordinary user would experience harm. However, should any user of the Services suffer harm or injury, 3Spectra expressly asserts it shall not be held liable for such harm unless it can be demonstrated that the harm arose from the gross negligence of 3Spectra. In the event that you, the user, are the source of the harm, you shall be solely liable for such harm. 3Spectra asserts and you accept that the technological world is vast and ever changing. As such, there is no feasible way for 3Spectra to accept liability for your actions. Anything you learn via our module is subject to specific constraints, including materials, locality, and other factors. You are solely liable for any damages, harms, or other liabilities that may arise when utilizing the content provided within the modules.
33. Third Parties
The Services may provide links to third party organizations, companies, and other entities. 3Spectra is not liable for such third parties and users are strongly advised and encouraged to look to the privacy policy and terms of use of such entities in order to be aware of and understand their rights.
34. Arbitration
In the event of dispute, you agree and consent that any and all disputes shall be resolved via arbitration, under the rules of the American Arbitration Association, under the oversight of a mutually agreed upon arbitrator. Should the parties not be able to agree on an arbitrator, the American Arbitration Association may select an arbitrator at random. The parties agree that under no circumstances shall litigation be permitted.
Users acknowledge and accept that they forfeit any and all right to a trial by jury or before the bench. All disputes shall be resolved solely by arbitration. Further, users agree they shall not seek to join, nor permit joinder, of their action to the action of another person. Users expressly accept that they shall not enter into class action litigation nor class arbitration. All disputes shall be resolves solely by singular arbitration.
The arbitrator may render a reasonable decision within 10 days of hearing the dispute between the parties. Punitive damages, special damages, or any damages outside of the actual damages that can be identified with specificity, shall not be awarded.
35. Fees
The prevailing party in arbitration shall be entitled to reasonable attorney’s fees, costs of arbitration, and reasonable expenses.
36. Time Limitation
By agreeing to these Terms, you expressly warrant and grant that any and all claims that may be raised shall be deemed to have expired and be unenforceable, nonactionable, and noncontestable after a period of one year from the time of the incident from which such claim may have arisen.
37. Governing Law
The law governing these Terms shall be the laws of the State of California, regardless of any conflicts of laws statute or regulation.
38. Severability
Should any provision of the Terms be held to be unenforceable by a competent court of law, such provision may be read as narrowly or broadly so as to give such provision full weight and effect. In the event such reading does not satisfy the court, then such provision shall be treated to have never been a part of these Terms and the remaining Terms shall continue to have full weight and effect.
39. Notices
In the event notice must be given, 3Spectra shall render such notice by email. Notice will be presumed received after 72 hours from the time of sending such email or by the user acknowledging receipt of notice.
40. Force Majeure
3Spectra shall not be liable for force majeure events. Such events may include war, famine, natural disasters, Acts of God, or other events that were either unforeseeable or unpreventable, and 3Spectra could not foresee or reasonably mitigate any of the potential liabilities that arose from such event.
41. Assignment
User may not assign or transfer any of their rights, responsibilities, or interests arising in or around these Terms. Any such attempt to make a transfer or assignment shall be immediately null and void.
42. Waiver
3Spectra’s failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. The waiver of any such right or provision will be effective only if in writing and signed by a representative of 3Spectra. Except as expressly set forth in these Terms, the exercise by either party of any of its remedies under these Terms will be without prejudice to its other remedies under these Terms or otherwise.
43. Modification
3Spectra may, from time to time and solely at its discretion, modify the Terms herein. In such instance 3Spectra will provide notice on the Services, by email, by notice on its website, or through another method by which it will do its due best to notify users of the modification. Should you disagree with the modification in the Terms, your sole recourse shall be to delete your account and cease your use of the Services.
44. Entirety of the Terms
The foregoing Terms shall form the entirety of 3Spectra’s responsibilities to you, and your responsibilities to 3Spectra. No representation, warranty, exhibit, promise, statement, assurance, or other evidentiary material shall serve as an amendment or modification to these Terms.
45. Acceptance
By continuing to use the Website, making an account, or otherwise interacting with C3Spectra you are deemed to have accepted the foregoing Terms of Use.
